White & Case advises NRG Energy, Inc. on US$3.5 billion of senior financing transactions

Global law firm White & Case LLP has advised NRG Energy, Inc. (NYSE: NRG), a leading North American energy and home services company, on its offering of US$500 million of senior secured first-lien notes and US$2.1 billion of senior unsecured notes, and its new US$900 million term loan B facility.
The proceeds of the financings will be used to repay a portion of the outstanding borrowings under NRG's revolving credit facility, repurchase and redeem in full the outstanding secured notes of the company's wholly owned subsidiary, Lightning Power, LLC, to pay transaction costs, and for general corporate purposes.
The White & Case team was led by Capital Markets partners Rafael Roberti, Eliza McDougall and Yehuda Rubel, and included associates Elizabeth Mapelli, Susie Qu, Ashley Chana, Thomas Boulger and Sonia Patel (all in New York). Law clerk Chantal Isaac (New York) also assisted on the matter.
Other recent transactions on which White & Case represented NRG include its US$12 billion acquisition of a power portfolio from LS Power in January 2026; its US$2.3 billion secondary common stock offering in March 2026; and its US$4.9 billion notes offering in September 2025.
