White & Case advises Bold Eagle Acquisition Corp. on business combination with REDLattice

Global law firm White & Case LLP has advised Bold Eagle Acquisition Corp., a publicly listed special purpose acquisition company (SPAC), on its entrance into a definitive agreement for a business combination with REDLattice, which will result in REDLattice becoming a publicly traded company on the Nasdaq under the ticker symbol REDL.

The transaction values REDLattice at a pre-money enterprise value of US$1.25 billion and is expected to provide up to approximately US$610 million of gross proceeds, including US$335 million of committed capital from new and existing mutual fund and institutional investors, and up to approximately US$275 million from Bold Eagle's trust account assuming no redemptions.

Proceeds from the transaction will be used to refinance all of REDLattice's existing debt and to fund the final cash earnout payment from REDLattice's previously consummated acquisition of Paragon Solutions Ltd. Additional remaining proceeds are expected to provide working capital to fund organic growth, product expansion, and disciplined mergers and acquisitions.

This is the ninth SPAC sponsored by the Eagle Equity Partners team, led by Harry E. Sloan, Jeff Sagansky and Eli Baker, for which the White & Case SPAC team has advised on both its initial public offering and business combination transaction.
