White & Case advises Colt CZ on CZK 22 billion acquisition of chemical manufacturer Synthesia Nitrocellulose

Global law firm White & Case LLP assisted Colt CZ Group SE with its CZK 22 billion (approx. USD 1.05 billion) acquisition of Synthesia Nitrocellulose, a.s., a newly established spin-off of Synthesia, a.s. and a leading European and North American manufacturer of energetic nitrocellulose. Colt CZ will initially acquire a 51% stake, to be followed by the remaining 49% under already agreed terms. As part of the transaction, Colt CZ also agreed to acquire Synthesia's energy division, which will be spun off into a separate entity. Regulatory and due diligence aspects of the transaction were covered by a local law firm. Completion of both transactions is expected in 2026 subject to regulatory approvals.
