White & Case Advises Grupa Pracuj S.A. on Warsaw Stock Exchange IPO

Global law firm White & Case LLP has advised Grupa Pracuj S.A., the leading HR technology platform in Central and Eastern Europe, on its initial public offering (IPO) on the regulated market of the Warsaw Stock Exchange.

The final price in the IPO was set at PLN 74 per share and the offering comprised of 15,134,278 shares, equal to 22.2 percent of the company’s share capital. The total value of shares sold via the IPO was PLN 1.12 billion.

The shares were offered in a public offering conducted in Poland and directed to both institutional and retail investors. The offering was also addressed to qualified institutional buyers in the U.S. in compliance with Rule 144A of the U.S. Securities Act and certain other institutional investors outside the U.S. in accordance with Regulation S under the U.S. Securities Act. 

Citigroup Global Markets Europe AG, Dom Maklerski Banku Handlowego S.A, Goldman Sachs Bank Europe SE and Trigon Dom Maklerski S.A. acted as Global Coordinators and Joint Bookrunners, Numis Securities Limited acted as Joint Bookrunner and mBank acted as Co-manager of the offering.

Grupa Pracuj has been operating for over 20 years in Poland and for 15 years in Ukraine. It employs over 800 people, including nearly 190 qualified IT specialists. Grupa Pracuj’s brands offer a well-developed digital ecosystem for the HR industry and include Pracuj.pl, the largest online job board in Poland, Rabota.ua, a leading online job board in Ukraine, and eRecruiter, the leading Polish SaaS (software as a service) recruitment platform.
