White & Case advises on Santander Bank Polska’s PLN 1.72 billion share sale

Global law firm White & Case LLP has advised Banco Santander S.A. (Banco Santander) on the sale of 3,576,626 million ordinary Santander Bank Polska S.A. (Santander Bank Polska) shares at PLN 482 per share through an accelerated book-building process.
The transaction, valued at PLN 1.72 billion (approximately €400 million), represents approximately 3.5 percent of Santander Bank Polska’s existing share capital. Following settlement of the placement, Banco Santander will continue to hold a majority stake of approximately 58.7 percent stake Santander Bank Polska.
Joint global coordinators and joint bookrunners included Banco Santander (as a manager), Santander Bank Polska - Santander Brokerage Poland (Santander Biuro Maklerskie), Bank Handlowy in Warsaw - Brokerage Office of Bank Handlowy, Citigroup Global Markets Europe AG, BofA Securities Europe SA and Goldman Sachs Bank Europe SE. Erste Group Bank AG and Erste Securities Polska acted as co-managers.
