White & Case Advises Soaring Eagle Acquisition Corp. on Its US$1.725 Billion IPO

Global law firm White & Case LLP has advised Soaring Eagle Acquisition Corp. on its US$1.725 billion initial public offering of 172,500,000 units, at a price of US$10.00 per unit, including the exercise by the underwriters of their over-allotment option in full. Each unit issued consists of one Class A ordinary share and one-fifth of one warrant to purchase one Class A ordinary share at an exercise price of US$11.50 per share. The units are listed on the Nasdaq Capital Market and trade under the ticker symbol "SRNGU".

Soaring Eagle is the seventh special purpose acquisition company (SPAC) led by Eagle Equity Partners' Harry Sloan, Jeff Sagansky and Eli Baker and advised by White & Case's SPAC team. The company's efforts to identify a prospective initial business combination target will not be limited to a particular industry, sector or geographic region.

The White & Case Capital Markets team was led by partners Joel Rubinstein and Jonathan Rochwarger (both in New York) and counsel Daniel Nussen (Los Angeles), and included associates Bob Lehner (London) and Audrey Bae (New York). They were assisted by tax partners David Dreier and Sang Ji and associate Adriana Zhan (all in New York).
