Global law firm White & Case LLP is advising London-listed Deliveroo plc on its recommended £2.9 billion all-cash acquisition by NYSE-listed DoorDash, Inc.
"This landmark UK transaction is the latest in a strong run of FTSE public M&A deals on which White & Case has advised," said White & Case partner Guy Potel, who co-led the Firm's deal team. "It represents a significant cross-border public M&A deal in the consumer technology sector and the highest value UK public takeover in 2025."
The transaction is being implemented via a UK scheme of arrangement and White & Case is advising Deliveroo on all legal aspects, including public M&A structuring, strategic board advice, UK Takeover Code and public securities laws compliance, antitrust and FDI considerations and employment.
"As lead corporate counsel to Deliveroo, we have forged a strong relationship with this important client and the sale to DoorDash extends the ongoing support that White & Case provides to Deliveroo as it pursues its key business goals," said White & Case partner Di Yu, who co-led the Firm's deal team. "It follows our role earlier this year advising on Deliveroo's strategic sale of certain assets in Hong Kong to foodpanda and the closure of its remaining operations in Hong Kong."
Deliveroo is an award-winning delivery service headquartered in London and operating in the UK, Ireland, Singapore, France, Belgium, Italy, Kuwait, Qatar and the UAE. It works with around 176,000 restaurants, grocers and retail partners, as well as more than 130,000 riders with a goal to provide the best on-demand delivery experience in the world.
The White & Case team which is advising on the transaction is led by partners Guy Potel and Di Yu (both London) and includes partners Marc Israel and Nicholas Greenacre (both London), counsel Samuel Marriott (London) and Kate Kelliher (London & Brussels) and associates Johanna Wagner, Katie Bolger, Iman Algubari, Conor Magee (all London) and Joao Lacerda (London & Brussels). The White & Case team is working closely with Deliveroo's General Counsel Chantelle Zemba and her team.
