White & Case Advises Lumibird on Acquisition of Ellex Medical Lasers Limited's Lasers and Ultrasound Business

Global law firm White & Case LLP has advised France-based Lumibird SA (Lumibird) on its A$100 million acquisition from Ellex Medical Lasers Limited (Ellex) of its laser and ultrasound business.

"This transaction will be transformational for both parties, establishing a world leader in laser and ultrasound technologies for the diagnosis and treatment of ocular diseases," said White & Case partner Nirangjan Nagarajah, who led the Firm's deal team. "The proposed transaction involves a number of steps, including Ellex shareholder approval and a restructuring of the Ellex business."

Ellex is an Australian company which designs, develops, manufactures and sells products that help eye surgeons treat eye disease. The assets acquired by Lumibird include the Ellex brand, the Australian R&D and production site in Adelaide and the commercial subsidiaries based in Australia, Japan, the US, France and Germany. The acquisition will be submitted to Ellex's shareholders for approval at a general meeting to be held during the first half of 2020.

The White & Case team in Melbourne which advised on the transaction was led by partners Nirangjan Nagarajah and Ged Cochrane with support from associates Tiffany Leach, Stephen Carlton, Nick Crawford and Brooke Warson.
