Global law firm White & Case LLP has advised Vivecti Group (Vivecti) on all aspects of the agreement to sell its subsidiary Pro Care Management (PCM) to Compass Group (Compass).
PCM is one of the largest independent food group purchasing organizations in Germany, with strong data and technology capabilities. With more than 100 employees, PCM serves over 4,000 large-scale kitchens and manages a purchasing volume exceeding €600 million.
Compass Group, a global leader in food services, will use the proposed acquisition to accelerate its GPO strategy in Europe.
For Vivecti, an integrated healthcare technology company, this deal allows a stronger focus on its core business around medical processes, particularly following the recently announced acquisition of the Sana procurement alliance.
The completion of the transaction is still subject to regulatory approvals and other closing conditions.
The White & Case team which advised on the transaction was led by partners Stefan Koch and Carola Glasauer (both Frankfurt) included partners Tomislav Vrabec, Dr. Bodo Bender, Dr. Daniel Zapf, Woldemar Häring (all Frankfurt), Thilo Wienke (Düsseldorf), and Retired Partner of Counsel Martin Munz (Hamburg), local partners Mathias Bogusch and Alisa Preissler (both Frankfurt), counsel Hugo Schwarz Leite (Frankfurt), and associates Alexander Sansotta, Valentina Scheler, Sofia Zafiriou, Jan Diether (all Frankfurt), Martin Junker (Berlin & Frankfurt), and Christopher Ruof (London) and transaction lawyer Johanna Jungermann (Frankfurt).
