White & Case advises CEPD on acquisition of Atida group, one of Europe’s largest digital pharmacy platforms

Global law firm White & Case LLP has advised Corporation of European Pharmaceutical Distributors N.V. (CEPD), a leading pharmacy retail network operator, and its shareholders on the acquisition of the Atida group (Atida) from OLP Intermediate S.A. (OLP), whose shareholders included Marcol, a European investor focused on the healthcare services sector.

Atida is one of the largest pan-European digital pharmacy platforms, operating online pharmacies and parapharmacies in Germany, France, Italy and Spain. Following completion of the transaction, OLP became a minority shareholder in CEPD.

The transaction was subject to customary conditions precedent, including obtaining approvals from the Italian Presidency of the Council of Ministers and the Swedish Inspectorate of Strategic Products.

CEPD is the leading pharmacy retail network operator in the European Union, with more than 1,800 pharmacies across Poland, Lithuania and Sweden. Established in 2008, CEPD is the retail business line of Pelion S.A., the largest healthcare sector company in Poland.

White & Case also advised on the shareholders’ agreement entered into between OLP and CEPD’s existing shareholders.
