Global law firm White & Case LLP has advised Landcadia Holdings II, Inc. (NASDAQ: LCA, "Landcadia II"), a publicly-traded special purpose acquisition company, on its definitive agreement to acquire Golden Nugget Online Gaming, Inc. ("GNOG"), a US online real money casino owned by Tilman J. Fertitta. The proposed transaction values the combined company at an anticipated pro forma enterprise value of approximately US$745 million.
The transaction is expected to close in the third quarter of this year, subject to the satisfaction of certain closing conditions. Upon closing, Landcadia II intends to change its name to Golden Nugget Online Gaming, Inc. and its Nasdaq trading symbol to "GNOG."
